These Terms and Conditions (“Terms”) govern your access to and use of HomeNationPros.com and other home-improvement websites, landing pages, forms, and online services operated by 15967376 Canada Inc. that link to these Terms.

These websites, landing pages, forms, and online services are collectively referred to as the “Services.” References to “Company,” “we,” “us,” or “our” mean 15967376 Canada Inc.

Please read these Terms carefully. By accessing or using the Services, submitting a service request, or clicking a button indicating acceptance, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services or submit personal information through them.

Important: The Company is an advertising, lead-generation, matching, and referral business. The Company is not a home-improvement contractor and does not perform, supervise, guarantee, or warrant any construction, installation, remodeling, repair, inspection, or related work.

1. Acceptance of These Terms

By using the Services, you represent that you have read, understood, and agreed to these Terms. Your use of the Services is also subject to the Privacy Policy and any additional disclosure, consent language, or notice presented to you when you submit a form.

If there is a conflict between these Terms and a specific disclosure or consent statement presented with a service-request form, the specific disclosure or consent statement will control with respect to the subject it addresses.

These Terms do not replace or alter a separate written agreement between you and an independent contractor or service professional.

2. Eligibility and Authority

The Services are intended for adults seeking information about home-improvement services for a property they own, occupy, manage, or are otherwise authorized to discuss.

By using the Services or submitting a request, you represent that:

  • You are at least the age of majority where you reside;
  • You have the legal capacity to agree to these Terms;
  • You are the property owner or have permission to submit information about the property and project;
  • The information you provide is accurate and not misleading; and
  • Your use of the Services complies with applicable law.

The Services are not intended for emergency situations. Do not use the Services to report an immediate threat to life, health, safety, or property. Contact the appropriate emergency services or qualified local professional.

3. Description of the Services

The Services allow users to submit information about a potential home-improvement project and request contact from one or more independent contractors or service professionals.

The Company may:

  • Advertise home-improvement services;
  • Collect project and contact information;
  • Verify or validate submitted information;
  • Evaluate service-area and project eligibility;
  • Match requests with contractors or service professionals;
  • Route requests to matched contractors;
  • Measure advertising and referral performance; and
  • Receive compensation from contractors for marketing or referral services.

The Services are generally provided to homeowners without a fee charged by the Company. A contractor may separately charge for products, services, inspections, designs, estimates, deposits, permits, financing, or other items under a separate agreement directly with you.

4. The Company Is Not a Contractor

The Company does not directly provide roofing, bathroom remodeling, windows, kitchens, accessory dwelling units, construction, general remodeling, installation, repair, inspection, engineering, architectural, financing, insurance, or similar services.

The Company does not:

  • Enter into a construction contract with you;
  • Prepare or approve contractor estimates;
  • Set contractor pricing;
  • Supervise contractor personnel;
  • Control how contractor work is performed;
  • Provide construction, legal, tax, insurance, or financial advice;
  • Guarantee permits, financing, rebates, grants, or project approval; or
  • Act as your agent, fiduciary, broker, or representative.

Any contractor relationship, estimate, purchase, financing arrangement, or project agreement is solely between you and the applicable contractor or third-party provider.

5. Service Requests and Information Accuracy

When submitting a service request, you agree to provide current, complete, and accurate information. You may not impersonate another person, submit a request without authorization, or provide another person’s contact information without lawful permission.

You are responsible for reviewing and correcting your information before submission.

We may reject, suspend, limit, or remove a request if we reasonably believe that it:

  • Contains false, incomplete, duplicate, or misleading information;
  • Is outside an available service area;
  • Does not meet contractor qualification criteria;
  • Was submitted through automated, fraudulent, or abusive activity;
  • Violates these Terms or applicable law; or
  • Creates a security, legal, or operational risk.

6. Matching, Referrals, and Compensation

We may match your request with one or more contractors based on project type, location, property information, timing, budget, contractor service area, contractor availability, and other relevant factors.

Contractors may compensate the Company for advertising, lead-generation, matching, referral, qualification, appointment, or related marketing services. This compensation may influence which contractors are available to receive a request, but it does not increase the amount you are required to pay the Company for submitting the request.

A match or referral is not an endorsement, certification, warranty, or recommendation concerning a contractor’s qualifications, pricing, reputation, licensing, insurance, availability, or work quality.

We are not required to provide a specific number of matches and may be unable to identify an available contractor for a particular request.

7. Contractor Communications and Consent

The consent disclosure presented with a service-request form explains which contractor, contractors, or categories of service providers may contact you and the communication methods that may be used.

By submitting a request, you authorize the Company to process and disclose your information as described in the Privacy Policy and the consent disclosure displayed with the form.

Depending on the consent you provide, matched contractors may contact you by telephone, text message, email, or other permitted methods regarding your project. Communications may include automated technology or an artificial or prerecorded voice only to the extent stated in the applicable consent disclosure and permitted by law.

Consent to receive marketing communications is not a condition of purchasing goods or services where applicable law requires that disclosure. Message and data rates may apply. Message frequency may vary.

Contractors are independent businesses. To stop communications from a contractor, contact that contractor directly, reply STOP to supported text messages, use an email unsubscribe link, or use another legally recognized revocation method.

8. No Government Affiliation, Grants, or Programs

The Company and the Services are privately owned and operated. Unless a page expressly states otherwise and identifies the relevant relationship, the Company and the Services are not affiliated with, sponsored by, administered by, approved by, or endorsed by any federal, state, provincial, territorial, county, municipal, or local government, government agency, public authority, utility, or government-funded organization.

References in advertisements or on the Services to grants, rebates, tax credits, incentives, relief programs, energy programs, financing programs, assistance programs, insurance benefits, or similar opportunities are for general informational or marketing purposes only.

The Company does not:

  • Administer government programs;
  • Issue grants, rebates, tax credits, or public benefits;
  • Determine eligibility for a government or utility program;
  • Guarantee approval, funding, reimbursement, or savings;
  • Represent that a program is available in every location; or
  • Act on behalf of a government agency or program administrator.

Program availability, eligibility, terms, funding, and deadlines may change and must be confirmed directly with the official program administrator. A contractor may provide information about possible programs, but that information is the contractor’s responsibility and should be independently verified.

9. Estimates, Pricing, Savings, and Financing

Any prices, project costs, savings amounts, financing examples, monthly payment examples, timelines, or other figures displayed through the Services are estimates, examples, ranges, or general information unless expressly stated otherwise.

Actual pricing and project terms depend on factors that may include property condition, materials, design, measurements, labour, permits, location, contractor pricing, financing approval, taxes, and project scope.

The Company does not guarantee any estimate, price, discount, savings, financing approval, interest rate, monthly payment, tax treatment, rebate, completion date, or project outcome.

Financing, when available, is offered by independent providers and is subject to separate applications, underwriting, credit approval, terms, and conditions. The Company is not a lender, loan broker, financial adviser, or credit-repair provider unless expressly stated in a separate legally required disclosure.

10. Contractor Verification and Consumer Responsibility

You are solely responsible for evaluating and selecting a contractor. Before hiring a contractor, you should independently verify, as applicable:

  • Licensing and registration;
  • Insurance and bonding;
  • Experience and qualifications;
  • References and reviews;
  • Permits and inspection requirements;
  • Written estimates and project scope;
  • Payment schedules and cancellation rights;
  • Warranties and guarantees;
  • Financing terms; and
  • Compliance with applicable laws and building codes.

Do not rely solely on a contractor’s appearance on the Services as evidence of qualification. You should obtain and retain a written contract directly from the contractor before authorizing work or making payment.

11. No Guarantee of Availability or Results

The Company does not guarantee that:

  • A contractor will be available in your area;
  • You will receive any particular number of responses;
  • A contractor will contact you within a specific period;
  • A contractor will provide a free estimate;
  • A contractor will accept your project;
  • You will qualify for financing or a public program;
  • A project will be approved, permitted, completed, or successful;
  • A contractor’s work will meet your expectations; or
  • Any information, price, or service will remain available.

Results vary based on the facts of each project and the independent actions of the user, contractor, lender, program administrator, and other parties.

12. User Conduct and Prohibited Uses

You agree not to:

  • Use the Services for an unlawful, fraudulent, or abusive purpose;
  • Submit false, misleading, or unauthorized information;
  • Impersonate another person or misrepresent your authority;
  • Use automated tools to scrape, copy, crawl, or submit forms;
  • Interfere with the security or operation of the Services;
  • Attempt to gain unauthorized access to systems, records, or accounts;
  • Introduce malware, harmful code, or excessive traffic;
  • Reverse engineer or attempt to extract source code;
  • Copy or republish substantial portions of the Services without permission;
  • Use information obtained through the Services to harass or harm others; or
  • Violate another person’s privacy, intellectual-property, or legal rights.

We may restrict or block access to the Services when we reasonably believe a user has violated these Terms or created a legal, security, or operational risk.

13. Intellectual Property

The Services and their content, including text, designs, layouts, graphics, forms, software, logos, domain presentation, videos, advertisements, and other materials, are owned by or licensed to the Company and are protected by applicable intellectual-property laws.

Subject to these Terms, the Company grants you a limited, personal, revocable, non-exclusive, non-transferable licence to access and use the Services solely for your own lawful home-improvement inquiry.

No ownership rights are transferred to you. You may not reproduce, distribute, modify, publicly display, sell, license, create derivative works from, or commercially exploit the Services without prior written permission.

Third-party names, logos, and trademarks remain the property of their respective owners. Their appearance does not imply sponsorship or endorsement unless expressly stated.

14. Information You Submit

You retain any rights you have in information you submit. By submitting a service request, you grant the Company a limited, non-exclusive right to host, store, reproduce, process, validate, route, and disclose that information as reasonably necessary to:

  • Operate the Services;
  • Process and match your request;
  • Provide the request to authorized contractors;
  • Prevent fraud and duplicate submissions;
  • Measure advertising and referral performance;
  • Resolve complaints and disputes; and
  • Comply with law and the Privacy Policy.

This limited right ends when the information is no longer needed for these purposes, subject to lawful retention, suppression, consent-recordkeeping, dispute, and compliance obligations.

If you send suggestions, ideas, or other non-confidential feedback about the Services, you authorize the Company to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.

15. Third-Party Websites, Platforms, and Services

The Services may contain links to or integrations with independent contractors, lenders, advertisers, social-media platforms, analytics providers, or other third parties.

The Company does not control and is not responsible for third-party content, products, services, availability, security, terms, or privacy practices. Your use of a third-party service is governed by that third party’s own agreements and policies.

A link, integration, or reference does not necessarily constitute an endorsement or recommendation. You assume responsibility for reviewing and accepting any third-party terms before interacting with that third party.

16. Advertising, Images, Reviews, and Testimonials

The Services may contain advertisements, illustrations, stock images, dramatizations, reviews, testimonials, or examples intended to explain or promote home-improvement services.

Unless expressly identified as an actual customer, contractor, or completed project, people shown in photographs or videos may be actors or models, and properties, project scenarios, or results may be illustrative.

Testimonials and reviews reflect the individual experience or opinion of the person providing them and do not guarantee that another person will receive the same result. Material relationships or incentives will be disclosed where required.

You may not assume that an image, advertisement, testimonial, or example represents the contractor who will receive your request or the exact project, price, savings, or result you will receive.

17. Facebook, Instagram, and Meta Disclaimer

The Services are independently owned and operated by 15967376 Canada Inc.

The Services are not part of, affiliated with, sponsored by, administered by, endorsed by, or otherwise associated with Facebook, Instagram, Meta Platforms, Inc., or any of their affiliates.

Facebook, Instagram, Meta, and their respective names, logos, and trademarks are the property of their respective owners.

We may use Meta advertising, analytics, pixel, conversion, and measurement technologies. Our use of Meta products does not mean that Meta sponsors, endorses, or administers the Services or any offer presented through them.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services and all information made available through them are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

The Company disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and results.

The Company does not warrant that:

  • The Services will be uninterrupted, secure, or error-free;
  • Information will be complete, current, or accurate;
  • Defects or errors will be corrected;
  • The Services will be free of harmful components;
  • A contractor will respond or perform satisfactory work; or
  • The Services will meet every user’s requirements.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.

19. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its directors, officers, employees, contractors, service providers, affiliates, successors, and assigns will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, loss of data, business interruption, property damage, personal injury, or the cost of substitute services arising from or relating to the Services, a contractor, a project, or these Terms.

To the maximum extent permitted by law, the Company’s total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:

  • The amount you paid directly to the Company for use of the Services during the 12 months before the event giving rise to the claim; or
  • One hundred Canadian dollars (CAD $100).

These limitations apply regardless of the form of action and even if the Company was advised that damages were possible.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud, willful misconduct, gross negligence where applicable, or rights provided by mandatory consumer protection law.

20. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company and its directors, officers, employees, service providers, successors, and assigns from third-party claims, damages, losses, liabilities, costs, and reasonable legal fees arising from:

  • Your unlawful or abusive use of the Services;
  • Information you submit without authorization;
  • Your material violation of these Terms;
  • Your infringement of another person’s rights; or
  • Your fraud, intentional misconduct, or misrepresentation.

This section does not require a consumer to indemnify the Company for the Company’s own negligence, unlawful conduct, or breach of these Terms where such an obligation would be prohibited by law.

21. Governing Law and Dispute Resolution

Before filing a legal claim, you and the Company agree to make a reasonable good-faith effort to resolve the dispute informally. A written notice should describe the dispute, the relevant service request, and the requested resolution and should be sent to [email protected] with the subject line Legal Dispute Notice.

The parties will have 30 days after receipt of the notice to attempt an informal resolution, unless immediate legal relief is reasonably necessary.

Subject to mandatory law, these Terms and any dispute arising from them or the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Subject to mandatory consumer rights and jurisdictional requirements, the parties submit to the courts of competent jurisdiction located in Ontario, Canada.

Nothing in this section prevents either party from seeking urgent injunctive relief, using an eligible small-claims procedure, or exercising a right that cannot be waived under applicable consumer-protection law.

22. Changes, General Terms, and Contact Information

A. Changes to the Services or These Terms

We may modify, suspend, or discontinue all or part of the Services at any time. We may update these Terms to reflect changes in the Services, business practices, technology, or applicable law.

When we update these Terms, we will revise the “Last Updated” date above. Material changes will be communicated through the Services or another reasonable method where required by law.

Changes apply prospectively from their effective date. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms to the extent permitted by law.

B. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum lawful extent and the remaining provisions will remain in effect.

C. No Waiver

A failure to enforce a provision of these Terms is not a waiver of that provision or any other right.

D. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. The Company may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or by operation of law, subject to applicable law.

E. Entire Agreement

These Terms, the Privacy Policy, and any form-specific disclosure or consent statement constitute the entire agreement between you and the Company concerning your use of the Services. They do not govern a separate agreement between you and an independent contractor.

F. Headings and Interpretation

Headings are provided for convenience and do not limit the meaning of a provision. “Including” means “including without limitation.” The singular includes the plural where the context requires.

G. Electronic Communications

You agree that notices and records relating to the Services may be provided electronically, including through a website posting or email, to the extent permitted by law. You may print or save a copy of these Terms for your records.
